FREIGHTYODHA.COM - TERMS OF SERVICE

This document is an electronic record under the Information Technology Act, 2000, and its applicable rules, as well as the amended provisions concerning electronic records in various statutes updated by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.

These Terms of Service are published in accordance with Rule 3 (1) of the Information Technology (Intermediaries guidelines) Rules, 2011 and Rule 4 of the Information Technology (Reasonable security practices and procedures and sensitive personal data or information) Rules, 2011 of the Information Technology Act, 2000, as amended by the Information Technology Amendment Act, 2008, which necessitates the publication of terms of service and practices for accessing or using www.freightyodha.com and other integrated systems ("FreightYodha").

These Terms of Service govern all users of the FreightYodha platform and its integrated systems. In this context, "Users" encompass FreightYodha's service partners, including their owners, managers, and staff, as well as the end-users who utilize the FreightYodha platform to connect with these service partners for their transportation needs

By using this platform, clicking the "I accept/ I agree" button, or completing the registration process, you explicitly agree and acknowledge that you have reviewed these Terms of Service, provided your consent, and accepted this agreement.

Throughout these Terms, "we," "us," or "FreightYodha" refers to the FreightYodha platform, and "you" refers to the user(s) of the FreightYodha platform and its integrated systems.

What FreightYodha Does

FreightYodha operates as a digital intermediary, connecting customers seeking to book freight or transportation services with truck drivers and owners who offer these services.

Your Agreement with FreightYodha

This User Agreement outlines the rules, regulations, policies, terms, and conditions applicable to anyone accessing or using FreightYodha, including any subdomains, web pages, or extensions thereof. By accessing or using FreightYodha, you hereby agree and acknowledge that you are bound by these Terms of Service.

Your use of FreightYodha and the services provided is subject to the rules, regulations, policies, notices, terms, and conditions detailed in this User Agreement.

Changes to These Terms

FreightYodha reserves the right to modify this platform and/or alter the terms and conditions of this User Agreement, as well as other policies, at any time. We also retain the right to deny access to anyone we believe has violated these Terms of Service. You acknowledge that any amendments to the User Agreement or incorporated rules and policies will be notified solely through publicly accessible links on the platform, and your continued access, browsing, or use of FreightYodha constitutes sufficient notice for all purposes. Revised terms will be effective immediately upon posting on the platform. [In the event of a substantial change to the User Agreement that reduces your rights or increases your responsibilities, FreightYodha will provide prior notice by posting it on the platform and also via email to the address you provided. For the purposes of this User Agreement, a 'substantial change' means a significant modification to these terms.]

By implicitly or expressly accepting this User Agreement, you also accept and agree to be bound by FreightYodha's Rules and Policies as updated from time to time.

Who Can Use FreightYodha

The FreightYodha platform is intended for use only by individuals who can enter into legally binding contracts under the Indian Contract Act, 1872. Individuals who are legally 'incompetent to contract,' including minors, persons of unsound mind, and insolvents, are not eligible to use the platform. Minors are prohibited from accessing or registering as users. In the case of registration by an entity, by accepting this User Agreement, you represent that the entity has the legal authority to enter into and be bound by these Terms of Service.

Registration:

You can register on FreightYodha using your Facebook, Google, or email account. By doing so, you grant us permission to access your profile details from these platforms to complete your registration on FreightYodha. You are solely responsible for maintaining the secrecy and confidentiality of your login credentials. You acknowledge and accept that the platform will grant access to anyone who possesses your login credentials in the same manner as it would grant access to you, and you are responsible for all activities conducted under your account. FreightYodha, its employees, or associates will never be responsible for any losses arising from such a security breach.

You shall not use this platform for any purpose, including subscription, other than as explicitly mentioned above and as permitted under applicable law.

You agree to provide true, accurate, and complete information during registration or at any other time when prompted on the platform. You are prohibited from misrepresenting your identity and agree not to impersonate another User or login/register using another person's identity. You are responsible for maintaining and promptly updating the information provided during registration or at any other time on the platform to ensure its truthfulness, accuracy, currency, and completeness. If you provide any untrue, inaccurate, outdated, or incomplete information, or if FreightYodha has reasonable grounds to believe that such information is untrue, inaccurate, outdated, or incomplete, or not in accordance with this User Agreement, FreightYodha reserves the right to indefinitely suspend, terminate, or block your access to the platform in any manner.

Electronic Communication:

You agree to stay informed about all data, information, and communication pertaining to you made available on the platform by FreightYodha. You further agree that your use of the platform or provision of any data or information, including any correspondence (by email or otherwise) to or by FreightYodha, is through electronic records, and you consent to receive communication from FreightYodha via electronic records, which will be considered adequate service of notice/electronic record.

Technical Requirements for Using FreightYodha

Users may only register with FreightYodha.com if they possess the necessary technical equipment, which includes a PC/Tablet and a broadband internet connection or at least a 3G internet connection. The availability and proper functioning of these technical requirements are the sole responsibility of the User.

Instructions on "How to use" FreightYodha.com will be available on the platform's homepage. All users are responsible for reading and adhering to these instructions for accessing FreightYodha.com. The user agrees that FreightYodha shall not be held responsible for any issues arising from non-adherence to these instructions that prevent the user from using the platform as intended or due to any reasons beyond FreightYodha's control.

You also grant FreightYodha permission to store details and records of your platform usage indefinitely. However, this does not constitute any obligation on the part of FreightYodha or the platform to do so.

Payment for FreightYodha Services

Payment plans, payment terms, and the Refund Policy for end-users of FreightYodha are outlined below in Annexure-A. However, we reserve the right to amend this payment policy and charges for the services rendered. Should we amend our payment policy or introduce charges, end-users will be notified, and they will have the option to decide whether or not to continue using our services. Such changes will be effective immediately upon posting on the platform.

All different types of Users are responsible for paying all charges/fees associated with the use of the platform and are liable for any and all applicable taxes, charges, cess, etc., which may be levied. In case of non-payment, FreightYodha reserves the right to issue a warning or temporarily/indefinitely suspend or terminate your usage of the platform and disallow access.

FreightYodha reserves the right to introduce new services or modify/upgrade existing services on the platform. Additionally, FreightYodha, at its sole discretion, may introduce new charges for these new or modified/upgraded services. Changes to the User Agreement or any of FreightYodha's rules and policies will be posted on the platform and will automatically become effective immediately after posting.

Payments must be made using the payment software of various payment gateway service providers in accordance with their terms and conditions/privacy policy. We facilitate payment processing through PCI-compliant debit card/credit card/net banking/mobile banking/mobile wallet/gift card payment gateways. The user explicitly agrees and acknowledges that FreightYodha shall not be held responsible for any delays, errors, or fraud in payment processing by entities outside FreightYodha's control.

FreightYodha utilizes payment systems authorized by the Reserve Bank of India for collection and refunds.

FreightYodha makes no representations or warranties regarding the time needed for processing, including delays in the online payment system, and shall not be liable for any actual or consequential damages arising from any claim of delay or any payment process-related errors or delays.

Service Activation and Delivery on FreightYodha

Activation Email/SMS: After registration and successful payment for our services, the user will receive an email/SMS for acknowledgment.

Services: The user will begin receiving services according to the type of vehicle and quantity of goods to be loaded within a maximum of 24 hours of completing all necessary procedures and receiving the activation email/SMS. However, you agree and acknowledge that FreightYodha shall never be held responsible for any delays for any reason whatsoever. Platform access may be unavailable during maintenance periods, and users will be informed about such periods whenever feasible.

The user agrees and acknowledges that FreightYodha shall never be held responsible for any problems that may arise during service delivery due to internet malfunction/connectivity issues or when the platform is closed for maintenance/updating, with or without prior notice.

Your FreightYodha Account and Security

To register for services, you must complete the registration process by providing current, complete, and accurate information as prompted by the registration form, including your email address and mobile number. You are responsible for protecting your account and for all use of your accounts, whether by you or a third party. You are solely responsible for any and all activities that occur under your account. You must notify us immediately upon learning of any unauthorized use of your account or any other security breach.

Your Responsibilities as a FreightYodha User

You agree and undertake not to host, display, upload, modify, publish, transmit, update, or share any information or list any item that:

belongs to another person and to which you do not have any right;
is grossly harmful, harassing, blasphemous, defamatory, obscene, pornographic, pedophilic, libelous, invasive of another's privacy, hateful, or racially, ethnically objectionable, disparaging, relating to or encouraging money laundering or gambling, or otherwise unlawful in any manner whatsoever; or unlawfully threatening or unlawfully harassing minors in any way;
infringes any patent, trademark, copyright, or other proprietary rights or third party’s trade secrets or rights of publicity or privacy; or is fraudulent or involves the sale of counterfeit or stolen items;
violates any law for the time being in force;
deceives or misleads the addressee/users about the origin of such messages or communicates any information which is grossly offensive or menacing in nature;
impersonates another person or uses an anonymous proxy;
contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer resource; or contains any Trojan horses, worms, time bombs, cancelbots, easter eggs, or other computer programming routines that may damage, detrimentally interfere with, diminish the value of, surreptitiously intercept, or expropriate any system, data, or personal information;
threatens the unity, integrity, defense, security, or sovereignty of India, friendly relations with foreign states, or public order, or causes incitement to the commission of any cognizable offense or prevents investigation of any offense or is insulting any other nation;
is false, inaccurate, or misleading;
directly or indirectly offers, attempts to offer, trade, or attempts to trade in any dealing that is prohibited or restricted in any manner under the provisions of any applicable law, rule, regulation, or guideline for the time being in force;
may create liability for the Platform or FreightYodha or cause any hindrance (in whole or in part).

In case of any violation of the above provisions, FreightYodha has the right to immediately terminate the user's access or usage rights to the platform without any notice, and any such violating information displayed or submitted on the platform can be removed immediately and completely.

You are responsible for keeping backup versions of the information and data you provide. You agree that you will not expect the platform to restore or keep backups of your information and data and will not hold the platform or FreightYodha accountable for any data loss in any circumstances.

You will also refrain from accessing information or databases on the platform or servers in an unauthorized manner

You shall not attempt to circumvent or manipulate any obligations conferred upon you by this User Agreement. If such an attempt is discovered, it will constitute sufficient grounds for termination of access to the platform and for taking appropriate legal actions.

If you choose to provide feedback on the platform that is visible to other users, you shall exercise due care while making comments and ensure they are factual and do not contain defamatory, illegal, or offensive/obscene content.

You undertake not to disclose or distribute any other User's Information to a third party or use the Information for any unauthorized purpose, including marketing, unless you have obtained the User's express consent.

Your Obligations Under Indian Cyber Laws:

You agree and acknowledge that:

You shall not use this platform for any unlawful or illegal purpose
You shall not attempt to penetrate the platform and will not implant any virus, Trojan, worm, spyware, malware, spam, scareware, bots, logic bomb, time bomb, keyloggers, or any other automated tool like DOS or DDOS attack tools that may lead to computer-related offenses on our platform.
You shall not use this platform for publishing, promoting, or transmitting pornographic data or child pornographic details.
You shall not carry out any web jacking attacks on this platform
You understand, agree, and acknowledge that you may be held responsible for the above criminal, fraudulent, dishonest, and injurious activities under criminal offenses’ sections 65, 66, 66B, 66C, 66D, 66E, 66F, 67, 67A, 67B, 84B, and 84C of the Indian Information Technology Act, 2000, including any amendments, based on your IP address and other relevant details.
You further agree and acknowledge that you may be held responsible under sections 43 and 45 of the Indian Information Technology Act, 2000, including any amendments, for compensating damages to FreightYodha or any other affected party due to business losses such as financial losses, outage losses, opportunity losses, reputational losses, and other overheads like repairing, fixing, and maintenance in case of any cyber contravention on your part.

Data Privacy on FreightYodha

All details on FreightYodha.com will be securely stored on the platform's server. It is mandatory to refer to and agree with our Privacy Policy and reasonable security practices & procedures.

Third-Party Links on FreightYodha

We may, from time to time, provide links to various third-party websites from the platform, including links to sites owned by our associated companies. These thirdparty links are provided for your convenience only, and you access them at your own risk. You agree that we have no responsibility or liability for any independent policies or actions of these third-party links and are not responsible in any way for their privacy practices, customer service practices, content, or availability.

Content on FreightYodha

Information, reports, videos, blogs, newsletters, and every other feature (collectively known as “online contents”) may be added to and removed from the Service without notice. The Information, reports, videos, blogs, newsletters, and other details included in the Service are provided for reference purposes only. They are not intended as a substitute for professional advice or judgment or to provide legal or other advice with respect to particular circumstances. Every effort is made to keep online contents up to date, but users should obtain independent verification or advice before relying on any piece of information in circumstances where loss or damage may result. The Service and online contents are provided on an ‘as is’ basis, and we exclude, to the extent permitted by law, all implied warranties relating to fitness for a particular purpose.

Reasonable care has been taken to ascertain the accuracy of all content. FreightYodha.com unequivocally states that the content provided on the platform should not be considered the authority on that topic/subject. Should a user find any content inaccurate or disagree with their own findings, they may voluntarily inform FreightYodha through all available means on the platform, along with the justification/solution/reasoning for the correct content proposed. The User undertakes and acknowledges that FreightYodha shall not be held responsible for any content that may be or have been proven wrong at a later stage, without recourse through a meaningful dialogue with FreightYodha and providing FreightYodha an opportunity, if required, to undertake corrective action within a mutually agreeable timeframe.

Indemnification

You shall indemnify and hold harmless FreightYodha and FreightYodha's parent company, subsidiaries, affiliates, service partners, third parties, and their respective officers, directors, agents, and employees from any claim or demand, or actions, including reasonable attorneys' fees, made by any third party or penalty imposed due to or arising out of your breach of this User Agreement, including the rules and policies incorporated herein by reference, or your violation of any law, rules, regulations, or the rights of a third party.

Intellectual Property Rights (IPR) on FreightYodha

All intellectual property rights and other rights in the online contents (in both machine-readable and printed form) belong to the appropriate service partner who has uploaded/stored the said contents in their account on the platform. Users shall not obscure or remove any copyright notices that appear on online contents published on the platform. However, we may use your online content for our data analytics purposes as per our Privacy Policy

The graphics, software, display formats (excluding online content uploaded by service partners in their accounts), design, style, Interface, compilation, digital conversion, flow, and all other matters related to the platform are owned by FreightYodha and protected under applicable Indian and international copyright, trademark, and other proprietary (including but not limited to intellectual property) rights. “FreightYodha.com” and other marks are either trademarks or registered trademarks of [Legal Name of FreightYodha Entity] having its registered office at [Registered Address of FreightYodha].
